Bet Max Tourney – Terms & Conditions (Beta)

These Terms & Conditions (“Terms”) govern your access to and use of Bet Max Tourney (the “Platform”), the consumer-facing application and platform operated by Bet Max Action, Inc. (a Delaware C-Corp) (“BMA,” “we,” “us,” or “our”). By accessing or using the Platform, you agree to be bound by these Terms.

If you do not agree, do not use the Platform.

1. Introduction & Acceptance of Terms

Bet Max Tourney is a free-to-play, tournament-style sports gaming platform currently operating in beta. These Terms apply to all users, including beta testers. We may update these Terms from time to time, and continued use of the Platform constitutes acceptance of any changes.

2. Eligibility & Account Registration

You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to use the Platform.

By creating an account, you represent that:

• You are legally permitted to participate in free-to-play sports prediction games in your jurisdiction
• All information you provide is accurate and current
• You will maintain the security of your account credentials

Usernames, contest results, and rankings may be displayed publicly within the Platform, including on leaderboards.

BMA reserves the right to restrict or deny access based on location, eligibility, or other factors at its sole discretion.

3. Free-to-Play Nature of the Platform

Bet Max Tourney is free to play.

No real money wagering, deposits, or withdrawals are offered or supported at this time.

Participation does not require payment, and no real-money prizes are awarded unless explicitly stated in a future, separate offering governed by additional terms.

3A. No Gambling

The Platform is provided solely for entertainment purposes and may not be used in connection with any form of real-money gambling or wagering.

4. Gameplay, Tournaments & TD$ Mechanics

BMA operates tournament-style contests in which users compete against other users.

Key mechanics include:

• Users are allocated a fixed amount of in-game units (“TD$”) for tournament participation
• TD$ have no real-world monetary value
• TD$ may only be used within the Platform for gameplay purposes
• Users make predictions or selections based on available markets
• Tournament rankings and outcomes are determined by predefined rules and scoring logic

TD$ cannot be redeemed, transferred, exchanged, or cashed out.

BMA reserves the right to modify tournament rules, formats, scoring logic, and TD$ mechanics at any time during beta.

4A. Contest Rules

Participation in any contest offered on the Platform is subject to the official rules applicable to that contest (the “Rules”), which are made available within the Platform and incorporated by reference into these Terms. By entering a contest, you agree to be bound by the applicable Rules.

5. Odds & Game Data

Odds and game data displayed on the Platform are sourced from third-party sportsbook data providers and are used solely for informational and gameplay purposes.

These odds:

• Are not tied to real-money wagering
• Are used solely as reference inputs for gameplay and scoring purposes and are not used to facilitate real-money wagering or to create an advantage for the Platform
• Are used to support tournament operations and scoring logic

Data providers may change over time as the Platform evolves.

BMA does not guarantee the accuracy, availability, or timeliness of third-party data.

6. Platform Evolution, Beta Status & Changes

The Platform is currently in beta.

You acknowledge and agree that:

• Features may change, be added, or be removed
• Gameplay mechanics and data may reset
• Bugs, downtime, or errors may occur
• The Platform may evolve into new formats, including additional tournament styles or social features, at BMA’s discretion

BMA makes no guarantees regarding continuity, availability, or future functionality during beta.

7. Fair Play & Prohibited Conduct

Users may not:

• Exploit bugs or system weaknesses
• Use automation, scripts, or bots
• Engage in collusion or coordinated manipulation
• Misrepresent identity or create multiple accounts
• Attempt to interfere with platform operations

BMA reserves the right to suspend or terminate accounts for violations of these rules.

8. Intellectual Property

All platform content, including software, design, logos, trademarks, and game mechanics, are the property of Bet Max Action, Inc., or its licensors.

Users may not copy, distribute, reverse engineer, or commercially exploit any part of the Platform without prior written consent.

9. Disclaimers & Limitation of Liability

The Platform is provided “as is” and “as available.”

To the maximum extent permitted by law:

• BMA disclaims all warranties, express or implied
• BMA shall not be liable for indirect, incidental, or consequential damages
• BMA is not responsible for errors in data, scoring, or tournament outcomes

Participation is at your own risk.

10. Privacy & Data Reference

Use of the Platform is subject to our Privacy Policy, which governs how user data is collected, used, and protected.

By using BMA, you consent to data practices described in the Privacy Policy.

11. Termination & Account Suspension

BMA may suspend or terminate your account at any time, with or without notice, for violations of these Terms or for operational reasons.

You may stop using the Platform at any time.

12. Governing Law & Miscellaneous

These Terms are governed by the laws of the United States of America, without regard to conflict-of-law principles.

If any provision is found unenforceable, the remaining provisions will remain in effect.
